NOTICE OF PUBLIC HEARING
LOUISVILLE/JEFFERSON COUNTY METRO GOVERNMENT, KENTUCKY
HOSPITAL REVENUE BONDS
(UOFL HEALTH PROJECT), SERIES 2022A

NOTICE IS HEREBY GIVEN that a joint public hearing will be held by the Louisville/Jefferson County Metro Government, Kentucky (the “Metro Government”) and the County of Bullitt, Kentucky (the “UofL South Project Host), acting through their designated hearing officer, at the office of the Assistant County Attorney, Laura Ferguson, at First Trust Centre, 200 South Fifth Street, Suite 300N, Louisville, Kentucky 40202, on March 1, 2022 at 10:30 a.m. This joint hearing, which will be administered by the Office of the Jefferson County Attorney on behalf of the Metro Government and the UofL South Project Host is for the purpose of considering the approval of the issuance by the Metro Government of its Metro Government Hospital Revenue Bonds (UofL Health Project), Series 2022A, in one or more series of bonds (the “Series 2022A Bonds”), for the benefit of UofL Health, Inc. (the “Borrower”), in an aggregate principal amount not to exceed $240,000,000 pursuant to Chapter 103 of the Kentucky Revised Statutes.

If authorized, the Series 2022A Bonds will be qualified 501(c)(3) bonds as defined in Section 145 of the Internal Revenue Code of 1986, as amended (the “Code”). The proceeds of the Series 2022A Bonds will be loaned to the Borrower and used to:

(a) finance the costs of the acquisition, construction, installation, and equipping of a new seven-floor medical tower on the campus of the University of Louisville Hospital located 530 S. Jackson Street, Louisville, Kentucky 40202 (the “UofL Health Project”), the cost for which is not expected to exceed $160,000,000;

(b) finance the costs of the acquisition, construction, installation, and equipping of a new 60-bed hospital on the campus of UofL Health Medical Center South located at 1903 W. Hebron Lane, Shepherdsville, Kentucky 40165 (the “UofL South Project”), the cost for which is not expected to exceed $80,000,000;

(c) pay capitalized interest on the Series 2022A Bonds;

(d) pay costs of credit enhancement for the Series 2022A Bonds; and

(e) pay costs of issuance in connection with the issuance of the Series 2022A Bonds.

The Borrower will be the owner of the UofL Health Project and the UofL South Project.

The Series 2022A Bonds and the interest thereon will be special and limited obligations of the Metro Government payable solely from the revenues pledged to the Series 2022A Bonds. The Series 2022A Bonds will not constitute an indebtedness or a charge against the general credit or taxing power of the Metro Government, the County of Bullitt, Kentucky, the Commonwealth of Kentucky, or any political subdivision thereof. The full faith and credit of the Metro Government, the Commonwealth of Kentucky, or any political subdivision thereof will not be pledged to the payment of the principal of or interest on the Series 2022A Bonds.

This notice is given pursuant to Section 147(f) of the Code.
